TERMS AND CONDITIONS – INDEPENDENT DISTRIBUTOR AGREEMENT

Welcome to Finwell Marketing Company LLC. By enrolling as an Independent Distributor
(“Distributor,” “you”), you agree to the following Terms and Conditions.

1. Independent Contractor Status
   Distributors are independent contractors and not employees, partners, or agents of Finwell
   Marketing Company LLC. You are solely responsible for your own business activities, expenses,
   and taxes.
2. Eligibility
   To enroll, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Comply with all applicable laws and regulations

1. Products and Sales
   Distributors may promote and sell Finwell Marketing Company LLC products/services.

• No inventory purchase is required unless explicitly stated
• Misrepresentation of products is strictly prohibited
• Sales must be made to genuine end customers

1. Compensation
   Distributors may earn income through:

• Direct sales commissions
• Bonuses based on team performance
  Important: Income is not guaranteed and depends on individual effort and performance.

1. Income Disclosure
   Finwell Marketing Company LLC does not guarantee any level of income.
   Most Distributors earn modest supplemental income, and some earn no income at all.
   Any earnings examples are not typical and not guarantees of future results.
2. No Income Claims
   Distributors may not:

• Guarantee income
• Make exaggerated or misleading income claims
• Use unverified success stories

1. Recruitment and Conduct
   Distributors may sponsor others but must:

• Provide accurate information
• Avoid high-pressure or deceptive tactics
• Act ethically at all times

1. Prohibited Practices
   The following are strictly prohibited:

• Pyramid scheme behavior
• Inventory loading
• Cross-recruiting within the organization
• Unauthorized branding use

1. Retail Sales Requirement
   Compensation must be primarily based on actual sales to end users, not recruitment.
2. Marketing & Advertising

• No false or misleading claims
• Use approved materials when possible
• Follow all advertising laws

1. Social Media Policy
   Distributors must:

• Identify themselves as independent distributors
• Avoid misleading content
• Not run unauthorized ads using company branding

1. Anti-Spam Compliance
   All communications must comply with applicable laws, including email and messaging regulations.
2. Intellectual Property
   All trademarks and materials remain the property of Finwell Marketing Company LLC. Unauthorized
   use is prohibited.
3. Refund & Buyback Policy
   Customers may request refunds within 14 days.
4. Termination

Finwell Marketing Company LLC may suspend or terminate accounts for violations, misconduct, or
legal non-compliance. Distributors may terminate at any time.

16. Indemnification
    Distributor agrees to indemnify and hold harmless Finwell Marketing Company LLC from any claims
    arising from their business activities or violations.
17. Limitation of Liability
    Finwell Marketing Company LLC shall not be liable for indirect damages, loss of income, or
    business interruptions.
18. Non-Disparagement
    Distributors agree not to make false or damaging statements about the company, products, or other
    Distributors.
19. Governing Law
    This Agreement shall be governed by the laws of the State of Pennsylvania.
20. Dispute Resolution
    Any disputes shall be resolved exclusively in the state or federal courts located in Pennsylvania.
21. Modification of Terms
    Finwell Marketing Company LLC may update these Terms at any time. Continued participation
    constitutes acceptance.
22. Entire Agreement
    This document, along with referenced policies, constitutes the entire agreement.
23. Electronic Agreement
    Electronic acceptance of this Agreement is legally binding.
    By enrolling, you confirm that you have read, understood, and agreed to these Terms and
    Conditions.
